Initializing SECURENCE
This agreement governs the handling of confidential information shared within the SECURENCE ecosystem.
This Non-Disclosure Agreement (NDA) is established to protect all confidential, proprietary, and non-public information related to the SECURENCE project. The purpose of this agreement is to ensure that any individual or entity receiving access to such information understands its sensitive nature and agrees to maintain strict confidentiality. This agreement governs the use, handling, and protection of all information shared for the purpose of discussion, evaluation, collaboration, or potential involvement in the project. By accessing or receiving any such information, the receiving party acknowledges and agrees to comply fully with the terms outlined herein.
This agreement is entered into between SECURENCE, an independent safety technology project represented by its founder, acting as the Disclosing Party, and any individual, collaborator, developer, advisor, organization, or entity receiving confidential information, acting as the Receiving Party. This agreement applies regardless of whether the relationship is formal or informal, paid or unpaid, temporary or ongoing, and includes all individuals who are granted access to project-related information in any capacity.
Confidential Information refers to all non-public, proprietary, and sensitive information related to SECURENCE that is disclosed directly or indirectly. This includes, but is not limited to, product concepts, system architecture, feature logic, hardware designs, software structures, algorithms, AI models, workflows, prototypes, visualizations, demonstrations, research data, development plans, strategic direction, documentation, and any future roadmap or innovation. Information disclosed through conversations, presentations, videos, images, code, or partial explanations shall also be considered confidential. Even if information is shared in incomplete or conceptual form, it remains protected under this agreement.
Confidential Information may be disclosed through various means, including verbal discussions, written documents, digital files, visual demonstrations, prototypes, simulations, or access to internal systems. The form of disclosure does not affect the confidential nature of the information. All such information is to be treated as strictly confidential regardless of whether it is explicitly labeled as such at the time of disclosure.
The Receiving Party agrees to maintain strict confidentiality of all Confidential Information and to use such information solely for the purpose for which it has been disclosed. The Receiving Party must take all reasonable measures to prevent unauthorized access, disclosure, or misuse of the information. The information must not be copied, reproduced, stored, transmitted, or distributed in any form without prior written consent from SECURENCE. The Receiving Party is also responsible for ensuring that any individuals under their control or influence comply with the same level of confidentiality.
The Receiving Party is strictly prohibited from using the Confidential Information for any purpose other than the agreed scope of evaluation or collaboration. The information must not be used for personal gain, commercial advantage, or independent development of any system, product, or service. The Receiving Party may not modify, adapt, or build upon the disclosed information in any manner that results in a competing or derivative concept.
The Receiving Party shall not disclose, share, publish, or communicate any Confidential Information to any third party without prior written authorization from SECURENCE. This includes disclosure to friends, colleagues, organizations, online platforms, or any external entity. Confidential Information must remain strictly restricted to the Receiving Party and only used within the permitted scope.
The Receiving Party agrees not to bypass, avoid, or undermine the Disclosing Party in any way by using the Confidential Information independently or through third parties. The Receiving Party shall not approach investors, partners, manufacturers, or any external entities to replicate, develop, or commercialize the concept without direct involvement or consent from SECURENCE. Any attempt to indirectly benefit from the disclosed idea without authorization will be considered a violation of this agreement.
The Receiving Party is strictly prohibited from analyzing, deconstructing, reverse engineering, or attempting to replicate any part of the SECURENCE system, concept, or design. This includes both direct and indirect attempts to recreate the idea, whether in identical or modified form. Any effort to derive similar functionality, structure, or implementation based on the disclosed information is strictly forbidden.
The Confidential Information must not be used for any commercial purpose. The Receiving Party shall not use the information to develop products, services, or business models that compete with or resemble SECURENCE. Any attempt to monetize or exploit the information, directly or indirectly, is a violation of this agreement.
This agreement shall remain in effect for a minimum period of five (5) years from the date of disclosure. However, with respect to core intellectual concepts, system designs, and proprietary ideas, the obligation of confidentiality may continue indefinitely until such information becomes publicly available through authorized disclosure by SECURENCE.
Any breach of this agreement will be considered a serious violation and may result in immediate termination of access to the project and any associated opportunities. SECURENCE reserves the right to pursue legal remedies, including claims for damages, injunctions, or other actions permitted under applicable law. The Receiving Party agrees that unauthorized use or disclosure of Confidential Information may cause irreparable harm.
All Confidential Information remains the exclusive property of SECURENCE. This agreement does not grant any ownership, license, or intellectual property rights to the Receiving Party. Access to information is granted solely for evaluation or collaboration purposes and does not imply any transfer of rights.
Upon request by SECURENCE or upon termination of involvement, the Receiving Party agrees to return or permanently delete all Confidential Information in their possession. This includes digital files, notes, copies, and any derived materials. The Receiving Party must confirm that no copies have been retained.
This agreement does not create any partnership, joint venture, employment relationship, or obligation for future collaboration between the parties. Disclosure of information does not guarantee any form of engagement, compensation, or agreement beyond confidentiality.
This agreement represents the complete understanding between the parties regarding confidentiality and supersedes any prior discussions or informal agreements related to the same subject.
